In public works and engineering services, its analysis requires more than checking percentages: it is necessary to demonstrate the triggering event, the need for the change, its relationship with the original scope, quantities, schedule and cost impacts, risk allocation and preservation of the contracted object.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Not every field change justifies an amendment, and not every contractor request represents new scope. Before changing the contract, the agency needs to distinguish the original obligation, design failure, supervening condition, change requested by the Administration, risk event, execution error and a claim without sufficient technical nexus.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What is a contract amendment under Law 14,133?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><a href=\"https:\/\/www.planalto.gov.br\/ccivil_03\/_ato2019-2022\/2021\/lei\/l14133.htm\">Law No. 14,133\/2021<\/a> governs contract changes mainly in arts. 123 to 136. The <a href=\"https:\/\/licitacoesecontratos.tcu.gov.br\/6-2-alteracao-do-contrato\/\">TCU Procurement and Contracts Manual<\/a> highlights that changes may be unilateral, determined by the Administration in the statutory cases, or consensual, agreed between the parties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The amendment instrument formalizes the new contractual condition and must be properly supported, justified and submitted to the applicable controls. For engineering contracts, technical support is decisive: it is not enough to state that \u201ca need arose.\u201d It is necessary to demonstrate why the change is necessary, when the fact became known, which original obligation is being changed and what actual impacts result from it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The analysis may involve the design, Terms of Reference, procurement notice, proposal, spreadsheet, budget, schedule, risk allocation matrix, field records, RFIs, measurements, meeting minutes and documents produced during contract inspection.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Unilateral and consensual changes<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Art. 124 provides for unilateral and consensual changes. Legal classification belongs to the responsible officials and competent legal counsel, but Consulting Engineering provides the technical facts that support that classification.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In practical terms, the analysis must clarify whether the change results from:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>a need to modify the design or specification for better technical suitability to the objective;<\/li><li>a quantitative change to the object;<\/li><li>a need to modify the execution regime or form of supply in a permitted situation;<\/li><li>adjustment of payment conditions;<\/li><li>restoration of the economic-financial equilibrium due to an event that qualifies legally;<\/li><li>another situation provided for in the contract and legislation.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The central point is that a change should only reach formalization after its nature has been understood and documented.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Not every change requires a contract amendment<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Law 14,133 itself distinguishes contractual changes from records that may be made through an administrative annotation (<em>apostila<\/em>). Correct analysis begins with the baseline: what was already contracted, what fact changed and why the new solution is actually necessary.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><a href=\"https:\/\/a3aengenharia.com.br\/servicos\/implementacao\/analise-tecnica-aditivos-alteracoes-escopo-pleitos-contratos-engenharia\/\">Learn about technical analysis of amendments and claims<\/a><\/p>\n<\/div>\n\n\n\n<p class=\"wp-block-paragraph\">Art. 125 establishes, for unilateral changes covered by the Law, limits of up to 25% of the updated initial contract value for additions or reductions in public works, services or purchases; in the case of renovation of a building or equipment, the limit for additions may reach 50%.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These percentages are legal limits, not technical justifications. Being below 25% does not automatically make a change necessary, economical or legitimate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Before reaching the percentage calculation, the agency needs to answer:<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>is the change technically necessary?<\/li><li>has the triggering fact been demonstrated?<\/li><li>was the obligation already part of the contract?<\/li><li>is the chosen solution the best alternative?<\/li><li>were quantities measured and traced?<\/li><li>do the prices preserve economy and consistency with the original procurement?<\/li><li>does the object remain essentially the same?<\/li><li>was the impact on schedule, risks and acceptance evaluated?<\/li><\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">This sequence is more important than beginning the analysis with the amount of percentage headroom available.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The change cannot materially transform the contracted object<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Art. 126 prohibits unilateral changes from materially transforming the object of the contract. The TCU also emphasizes that a modification is not permitted, even by agreement between the parties, when it changes the essential nature of the object or frustrates principles such as equal treatment and the requirement to conduct procurement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In engineering, such transformation need not occur only through a change in name. It may arise when the cumulative set of changes substantially changes the purpose, architecture, scale or essential characteristics of what was originally procured.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A technical analysis may consider:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>original purpose of the project;<\/li><li>functional scope;<\/li><li>systems and disciplines involved;<\/li><li>capacity originally contracted;<\/li><li>technology solution;<\/li><li>physical boundaries;<\/li><li>interfaces;<\/li><li>execution regime;<\/li><li>relative participation of changed items;<\/li><li>cumulative effect of previous amendments.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Evaluating each change only in isolation can hide a cumulative transformation of the object.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Design failure should not be treated as a neutral fact<\/h2>\n\n\n\n<div class=\"wp-block-a3a-destaque\">\n<p class=\"wp-block-paragraph\">Design failure, a supervening condition, execution error and a change requested by the agency are not the same thing. Generic justifications are insufficient.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This means that a technical opinion on an amendment should reconstruct the timeline:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>what was known during design and procurement;<\/li><li>which documents recorded the original condition;<\/li><li>when the new fact was identified;<\/li><li>who reported the occurrence;<\/li><li>which alternatives were evaluated;<\/li><li>why the original solution became inadequate or insufficient;<\/li><li>how the proposed change solves the problem.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">This timeline helps distinguish a supervening event from a failure that existed before contracting.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Baseline: the first document in any amendment analysis<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">No claim should be analyzed solely from the contractor\u2019s letter. The first step is to reconstruct the original obligation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The baseline may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Preliminary Technical Study (ETP);<\/li><li>Basic and Detailed Design;<\/li><li>Terms of Reference;<\/li><li>procurement notice and attachments;<\/li><li>responses to clarifications and challenges;<\/li><li>winning proposal;<\/li><li>contract;<\/li><li>spreadsheet and budget;<\/li><li>contractual schedule;<\/li><li>risk allocation matrix;<\/li><li>approved submittals;<\/li><li>minutes and formalized decisions;<\/li><li>RFIs;<\/li><li>work orders;<\/li><li>measurements;<\/li><li>inspection reports;<\/li><li>photographic and field records.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The central question is: <strong>what was the contractor already required to deliver before the alleged event?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The <a href=\"https:\/\/a3aengenharia.com.br\/servicos\/implementacao\/analise-tecnica-aditivos-alteracoes-escopo-pleitos-contratos-engenharia\/\">Technical Analysis of Amendments, Scope Changes and Claims<\/a> service uses this reconstruction to separate actual change from later reinterpretation of scope.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Quantities: measure the physical change before the financial impact<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">When a change involves additions or reductions, the quantity takeoff must originate from the design and field conditions, not only from the spreadsheet proposed by the contractor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The analysis should verify:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>unit of measurement;<\/li><li>quantity originally contracted;<\/li><li>quantity already executed;<\/li><li>additional or reduced quantity;<\/li><li>source of the takeoff;<\/li><li>reference drawing or document;<\/li><li>allowable losses and consumption;<\/li><li>duplicates;<\/li><li>replaced items;<\/li><li>effects on related activities.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">An apparently simple change may generate secondary effects. Adding new equipment, for example, may require power supply, infrastructure, licenses, network ports, storage, configuration, testing, documentation and training.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Therefore, the quantity analysis must consider the complete system.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">New prices and economy<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Art. 127 establishes a rule for defining prices for public works or services not included in the contract, using the relationship between the proposal and the baseline budget over references or market prices, subject to the applicable limits. Art. 128 protects the percentage difference between the total contracted value and the total reference price, preventing amendments from reducing that advantage in favor of the contractor.<\/p>\n<p>This protection is particularly important when the original proposal shows signs of <a href=\"https:\/\/a3aengenharia.com.br\/conteudo\/artigos-tecnicos\/mergulho-precos-licitacoes-obras-jogo-planilha-aditivos\/\">price diving or spreadsheet gaming<\/a>. The analysis must identify whether the occurrence affected relevant activities, contractual milestones or the critical path.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A schedule claim may require comparison among:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>baseline schedule;<\/li><li>current update before the event;<\/li><li>affected activity;<\/li><li>start and end of the impact;<\/li><li>available float;<\/li><li>dependencies;<\/li><li>possible concurrency;<\/li><li>mitigation measures;<\/li><li>responsibility for the delay;<\/li><li>previous changes already incorporated.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Without this causal relationship, the discussion tends to rely only on narratives.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Risk allocation matrix and economic-financial equilibrium<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The risk allocation matrix may define in advance which party assumes certain events and their effects. When objective allocation exists, it must be considered before any analysis of restoration of economic-financial equilibrium.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is important to distinguish concepts that are frequently mixed:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>scope change;<\/li><li>price adjustment;<\/li><li>repactuation;<\/li><li>restoration of economic-financial equilibrium;<\/li><li>delay attributable to one of the parties;<\/li><li>contractually allocated risk event;<\/li><li>force majeure, fortuitous event or another legally relevant fact.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Consulting Engineering identifies the event, cause and technical impact. The change must be incorporated into the documents that govern execution.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Depending on the case, the following should be updated:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>design;<\/li><li>design reports;<\/li><li>specifications;<\/li><li>spreadsheets;<\/li><li>budget;<\/li><li>schedule;<\/li><li>risk allocation matrix;<\/li><li>material lists;<\/li><li>submittals;<\/li><li>procedures;<\/li><li>test plans;<\/li><li>measurement criteria;<\/li><li>document requirements;<\/li><li>As-Built and Data Book.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Without this update, the project may reach acceptance with three different realities: original contract, amendments and executed condition.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><a href=\"https:\/\/a3aengenharia.com.br\/conteudo\/artigos-tecnicos\/engineering-change-management-ecm-projetos-engenharia\/\">Engineering Change Management<\/a> provides a useful logic for controlling requests, approvals and impacts of changes throughout the project.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Formalization before execution<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Art. 132 establishes that formalization of the contract amendment is a condition for executing the modified obligations determined by the Administration during the contract, except for the exceptional case of justified anticipation of effects, with formalization within the statutory period.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The TCU reinforces that execution of activities not provided for without proper formalization violates the rules on contract changes, except in exceptional situations that are duly justified and recorded.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This point is particularly sensitive in public works. Field pressure may lead to phrases such as \u201cdo it now and regularize it later.\u201d Without governance, this creates risk of measurement without contractual basis, price discussions after execution and difficulty assigning responsibility.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">When exceptional anticipation is truly necessary, the decision must be formal, traceable and compatible with the applicable procedure.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Examples of technical analysis<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">Adding new points after design approval<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">If the agency decides to add new cameras, network points, outlets, sensors or equipment after the contracted baseline, there is a strong indication of a change in need. The analysis should size not only the main items but also associated infrastructure, licenses, server capacity, storage, power supply, testing and documentation.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Unforeseen physical interference<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">If an existing pipe or structure prevents the designed solution, the analysis should verify whether the interference was detectable in the existing-conditions survey, whether it appeared in the documents and whether responsibility for coordination was allocated to either party.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Discontinued equipment<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Discontinuation of a model does not automatically turn its replacement into an amendment. It may be possible to provide an equivalent solution within the contracted scope and price, depending on the obligations and specifications. The analysis should compare performance, integration and commercial conditions.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Quantity greater than the spreadsheet<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">It is necessary to verify whether the design already indicated the actual quantity and the spreadsheet was wrong, whether there was an expansion of scope or whether the increase results from the contractor\u2019s execution method. Each situation has a different treatment.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Frequent errors in amendment management<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Among the most common errors are:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>starting the analysis from the available percentage limit;<\/li><li>accepting as new service something that was already a contractual obligation;<\/li><li>using generic justification without characterizing the triggering event;<\/li><li>failing to reconstruct the original baseline;<\/li><li>disregarding the risk allocation matrix;<\/li><li>approving quantities without a calculation record;<\/li><li>negotiating price before technically defining the item;<\/li><li>granting time without schedule analysis and causal nexus;<\/li><li>executing a change before formalization without an exceptional basis;<\/li><li>failing to update design, schedule and documentation after the amendment;<\/li><li>analyzing each change in isolation and ignoring the cumulative effect on the object;<\/li><li>treating design failure as a neutral fact without investigating responsibility.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">These problems reduce the contracting authority\u2019s ability to control cost, schedule and scope.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How Law 14,133 protects the contracting authority<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The rules in arts. 123 to 136 create a series of safeguards: need for a decision, justification, limits, preservation of the object, pricing rules, economic-financial equilibrium, formalization and differentiation between an amendment and an administrative annotation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Protection, however, depends on good technical support.
